Terms of Service

These Terms of Service ("Terms") govern your use of the Prozly website and application (together, the "Service"), operated by the entity named in our Impressum ("Prozly", "we", "us"). By creating an account or using the Service you agree to these Terms. The German version is available at /agb.
1. The Service
Prozly is a content automation platform: it ingests content from sources you connect (RSS feeds, websites, YouTube, LinkedIn), generates AI-assisted drafts, images, and carousels in your brand voice, and lets you schedule and publish to connected social platforms. Features vary by plan; see Pricing.
2. Accounts
You must provide accurate registration information and keep it up to date. You are responsible for activity under your account and for keeping your credentials confidential. The Service is intended for business use by persons aged 18 or over.
3. Plans, billing, and trials
- Paid plans are billed monthly or annually in advance via Stripe.
- Trials convert to paid plans only where explicitly stated at sign-up.
- You can cancel at any time; the cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
- AI usage is metered in credits as described on the pricing page and in the app.
- We may change prices with at least 30 days' notice, effective from your next billing period.
4. Your content and AI output
You retain all rights to the content you add to Prozly. You grant us the limited license needed to operate the Service (store, process, transmit your content — including to our AI providers for the generations you request). Subject to your compliance with these Terms and our providers' terms, you may use the AI-generated output for any lawful purpose. AI output can be inaccurate — you are responsible for reviewing content before publishing it.
5. Acceptable use
You agree not to use the Service to:
- publish unlawful, defamatory, or misleading content, including undisclosed advertising;
- infringe intellectual property or other rights of third parties;
- violate the terms of connected platforms (e.g. LinkedIn, Instagram) — including their automation policies;
- send spam or engage in bulk unsolicited outreach;
- probe, disrupt, or overload the Service or attempt to access other customers' data.
6. Third-party platforms
Publishing requires you to connect accounts on third-party platforms. Those platforms are outside our control: their terms apply to your accounts there, they may change or revoke API access, and we are not responsible for actions they take against your account (e.g. rate limits or restrictions).
7. Availability and changes
We aim for high availability but do not guarantee uninterrupted operation. We may modify the Service (including features and AI models used) provided the core functionality of your plan is preserved. We may discontinue the Service with at least 3 months' notice, in which case prepaid fees for the period after discontinuation are refunded.
8. Liability
We are liable without limit for intent, gross negligence, and injury to life, body, or health. For slight negligence, we are liable only for breach of essential contractual obligations (Kardinalpflichten), limited to the foreseeable damage typical for this type of contract. Liability for loss of profit and indirect damage is excluded to the extent permitted by law. Statutory liability under product liability law remains unaffected.
9. Termination
You can delete your account at any time. We may suspend or terminate accounts that materially breach these Terms; where reasonable, we will warn you first. Upon termination, your content is deleted in accordance with our Privacy Policy.
10. Changes to these Terms
We may update these Terms for good cause (e.g. legal changes, new features). We will notify you of material changes at least 30 days before they take effect; if you do not object before the effective date, the updated Terms apply.
11. Governing law
These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. For merchants, the exclusive place of jurisdiction is the registered seat of Prozly.
